JZero does not screen, edit or review material submitted by users. JZero can therefore accept no responsibility or liability for any material which may reside in or is accessed by the JLMS Cloud Site other than JZero Information. JZero has no responsibility with respect to Other Sites. You may not link, upload, post or transmit any illegal, obscene, offensive or otherwise inappropriate material to the JLMS Cloud Site. You agree to indemnify JZero from any damage, loss, cost or expense which may be incurred by JZero as a result of the material you link, upload, post, or transmit to the JLMS Cloud Site. JZero has no duty to review or edit materials submitted by users. Any such materials may be removed by JZero at any time for any reason.

No warranties of any kind are made with respect to the JLMS Cloud Site, JZero Information, or Other Sites. Your use of the JLMS Cloud Site will comply with all applicable laws, rules and regulations that govern the export of technical data.

This JLMS Cloud Site is operated from our offices in the United Kingdom ("UK"). This Agreement shall be governed by and construed in accordance with the laws of the UK, without reference to any conflict of law principles.

IN NO EVENT SHALL JZero OR ITS EMPLOYEES, AGENTS, LICENSORS OR CONTRACTORS BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR MULTIPLE DAMAGES OF ANY KIND.

Any action on any claim against JZero must be brought by the user within one (1) year following the date the claim first accrued, or shall be deemed waived.

This is the entire agreement between the parties and may not be modified except in writing signed by both parties.

JZERO Solutions charges and collects monthly in advance for use of the Service. JZERO Solutions will automatically issue an invoice for each month upon receipt of payment. JZERO Solutions will automatically renew and bill your credit card each year on the subsequent anniversary or as otherwise mutually agreed upon. The renewal charge will be equal to the then-current number of total User licenses times the license fee in effect during the prior term, unless JZERO Solutions has given you at least 30 days prior written notice of a fee increase, which shall be effective upon renewal and thereafter. Fees for other services will be charged on an as-quoted basis. JZERO Solutions fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

You agree to provide JZERO Solutions with complete and accurate billing and contact information. This information includes your legal company name, street address, e-mail address, and name and telephone number of an authorised billing contact and License Administrator. You agree to update this information within 30 days of any change to it. If the contact information you have provided is false or fraudulent, JZERO Solutions reserves the right to terminate your access to the Service in addition to any other legal remedies.

If you believe your bill is incorrect, you must contact us in writing within 30 days of the invoice date of the invoice containing the amount in question to be eligible to receive an adjustment or credit.

In addition to any other rights granted to JZERO Solutions herein, JZERO Solutions reserves the right to suspend or terminate this Agreement and your access to the Service if your account becomes delinquent (falls into arrears). Delinquent invoices (accounts in arrears) are subject to interest of 3.0% above Bank of England base rate per month on any outstanding balance, or the maximum permitted by law, whichever is less, plus all expenses of collection. You will continue to be charged for User licenses during any period of suspension. If you or JZERO Solutions initiates termination of this Agreement, you will be obligated to pay the balance due on your account computed in accordance with the Charges and Payment of Fees section above. You agree that JZERO Solutions may charge such unpaid fees to your deposit, credit card or otherwise bill you for such unpaid fees.

You agree and acknowledge that JZERO Solutions has no obligation to retain Customer Data and that such Customer Data may be irretrievably deleted if your account is 30 days or more delinquent.
